TERMS OF SERVICE

By accepting these terms, you acknowledge and agree to the following:

Eligibility

1. You affirm that you are 18 years of age or older.
2. You are authorized to represent and legally bind the contracting party identified as the "customer."
3. You consent, on behalf of the customer, to adhere to all terms and conditions outlined in this online agreement.

Should you disagree with these terms, refrain from clicking the acceptance button to discontinue your order.

Service Provision

UCG L.L.C. undertakes to deliver services requested by the customer, who commits to acquiring them via the website, email, or written communication. Customers are required to make advance payments for one-time charges or recurring fees.

Invoicing and Payment

Invoices for charges and expenses will be generated based on the billing cycle for each service. Immediate payment is expected upon invoice issuance for all recurring services. Unpaid invoices will incur interest, and services may be terminated due to non-payment. Additional charges may apply for bandwidth overages.

Security Interest

In the event of non-payment, the customer grants UCG L.L.C. a security interest in customer contracts and equipment, allowing UCG L.L.C. to sell equipment or contracts to settle outstanding balances.

Term

The agreement commences upon service installation and is valid for a specified period. Following the initial term, the agreement automatically renews unless terminated with prior notice.

Termination for Breach

UCG L.L.C. reserves the right to terminate the agreement or suspend services in case of customer breaches, with termination or suspension taking effect after notification.

Warranties

UCG L.L.C. guarantees 99% uptime and professional service delivery. In the event of a breach, UCG L.L.C. will rectify nonconforming services.

Refund Policy

- Domain Names: All domain name purchases are non-refundable.

- Data Warehousing: Refunds for data warehousing services are available within 14 days of purchase.

- Other Professional Services: All other professional services are non-refundable.

Indemnification

Customers agree to defend, indemnify, and exempt UCG L.L.C. from claims arising from service utilization or agreement breach.

Limitation of Liability

UCG L.L.C.'s liability is restricted to actual damages incurred and does not extend to consequential damages or third-party claims.

Force Majeure

Either party is excused from obligations due to circumstances beyond their control.

Construction, Venue, Jurisdiction

The agreement is subject to UAE laws, with disputes to be settled in UAE courts.

Notice

All notifications under the agreement are deemed effective upon receipt.

Severability

In the event of invalidity of a provision, the remaining provisions remain in force.

Counterparts

The agreement may be executed in multiple counterparts.

Acceptance

Submission of payment signifies acceptance of the terms. UCG L.L.C. reserves the right to update the terms, with the latest version accessible on the website.

UCG L.L.C. Notes

- Only the contracted individual or entity is authorized to manage services.

- Services may be terminated for outstanding invoices.

- Additional charges may apply for service cancellation, release, or reactivation.
